Mr. Cyrus P Mistry
Chairman, Not- independent, Non-Executive Director
Mr. Cyrus P. Mistry is the Chairman of Tata Sons. He is a graduate of Civil Engineering from Imperial College, UK, and has a M.Sc. in Management from London Business School.
A Director of Tata Sons since 2006, Mr. Mistry was appointed as Deputy Chairman in November 2011. He was formally appointed as the Chairman of Tata Sons with effect from December 28, 2012 following the retirement of Mr. Ratan Tata.
Mr. Mistry joined the board of Shapoorji Pallonji & Co. Ltd as Director in 1991 and was appointed the Managing Director, Shapoorji Pallonji Group, in 1994. He is also a Director of Tata Industries Limited, Tata Power Company Limited, Tata Teleservices Limited and Tata Consultancy Services Limited.
Mr. Subodh Bhargava
Independent, Non - Executive Director
Mr. Subodh Bhargava is a Mechanical Engineer from the University of Roorkee. He was the Group Chairman and Chief Executive Officer and on the Board of Eicher Group of Companies. He is now the Chairman Emeritus of the same group. He is on the Board of Tata Steel Limited since 2006.
Mr. Bhargava was the President of the Confederation of Indian Industries, the President of the Association of Indian Automobile Manufacturers and the Vice President of the Tractor Manufacturers Association. He has been associated with various State Governments, including as a member of the Insurance Tariff Advisory Committee and the Economic Development Board of the State of Rajasthan. He is currently Chairman of Tata Communications Limited, Wartsila India Limited and Director on the Boards of several other companies.
Mr. Bhargava is the recipient of the first Distinguished Alumnus Award, awarded by Indian Institute of Technology, Roorkee, in 2005.
Mr. O. P. Bhatt
Independent, Non-Executive Director
Mr. O. P. Bhatt is a graduate in Science and a post graduate in English Literature (Gold Medalist). In his last assignment, from July 1, 2006 to March 31, 2011, he was the Chairman, State Bank Group, which includes State Bank of India, India’s largest commercial bank; five associate banks in India; five overseas banks; SBI Life, the country’s largest private life insurer; SBI Capital Markets, India’s leading investment bank; SBI Fund Management; and other subsidiaries spanning diverse activities
Mr. Bhatt has served as Chairman of Indian Banks’ Association, the apex body of Indian banks. He also served as India’s economic diplomacy as government’s nominee on the India-US CEO Forum, Indo-French CEO Forum and Indo-Russia CEO Forum, forging links with a cross section of the world’s business leaders.
Mr. Koushik Chatterjee
Group Executive Director (Finance and Corporate)
Mr. Koushik Chatterjee is an Honours Graduate in Commerce from Calcutta University and a Fellow Member of the Institute of Chartered Accountants of India. A Wholetime Director on the Board, he was appointed as the Group Executive Director (Finance and Corporate) w.e.f. September 19, 2013.
Mr. Koushik Chatterjee joined Tata Steel in 1995. During his stint in the Company, he worked in the areas of Corporate Finance and Planning. During the years 1996-1998, he was also a visiting faculty in Corporate Finance at XLRI, Jamshedpur. In 1998, he was transferred to the Tata Steel Head Office in Mumbai and subsequently to Tata Sons Limited in the Group Executive Office (GEO). He became General Manager - Corporate Finance, Tata Sons, in 2002. During his tenure in Tata Sons Limited, he was involved in Mergers & Acquisitions activities including privatisations and joint ventures. He was also the lead facilitator in the Groupwide rollout of the Economic Value Added (EVA) initiative for the major Tata companies.
Mr. Chatterjee re-joined Tata Steel on August 1, 2003 and was appointed the Vice President (Finance) w.e.f. August 1, 2004. During his tenure, Mr. Chatterjee has led the first overseas acquisition of the Company - NatSteel Asia which has 2 mtpa finishing facilities in 7 countries in South East Asia. He subsequently led the acquisition of a 1.7 mtpa Millennium Steel (now Tata Steel Thailand) in Thailand. In 2006-07, he played a critical role in the acquisition of Corus Group plc for USD 13.7 billion, leading the Country's largest capital raising process for the acquisition.
With the announcement of the new Tata Steel Group post the acquisition of Corus, Mr. Chatterjee was appointed as Group Chief Financial Officer w.e.f. January 1, 2008. He was inducted into the Board of the Company as a Wholetime Director w.e.f. November 9, 2012. He has been responsible for Group Financial Reporting, Investor Relations, Financing Strategy including debt and equity raising, Corporate M&A, Risk Management and Compliance, Taxation Strategy and planning and co-ordination of statutory and management reporting.
As the Group Executive Director (Finance and Corporate), in addition to maintaining responsibility of the company's finance function, Mr. Chatterjee is responsible for the Tata Steel Group Corporate functions including Legal and Regulatory Affairs, Corporate Communications, Strategic Procurement, Information Systems, Group Investments, Global Mining Projects and Assurance.
He is on the Board of several Tata Steel Group companies, in India and abroad, including Tata Steel UK, NatSteel Asia Pte. Limited, Tata Steel (Thailand) Public Company Limited, Southern Steel Berhad, Malaysia, and others. He is Chairman of the Boards of Tata Metaliks Limited and the Tinplate Company of India Limited.
Mr. Chatterjee was declared one of India's best CFOs by Business Today Magazine in 2005 and 2006 and by CNBC in 2007. More recently (March 2012), he has been awarded the Best Performing CFO in the Metals Sector by CNBC TV18. He was declared India's "Best Executive" for 2009 by Asia Money Magazine. He is also a frequent speaker in various conferences in India and abroad including the McKinsey Global CFO Forum 2008, Economist Conferences, London Business School and CII organized conferences. He is a member of the Primary Market Advisory Committee on Capital Markets of SEBI and was a member of the Takeover Regulations Advisory Committee of SEBI, which drafted the new Takeover Code. He has recently been appointed as the first Indian on the Global Preparers Forum which is advisory body of the International Accounting Standards Board, London.
Mr. Ishaat Hussain
Not Independent, Non - Executive Director
Mr. Ishaat Hussain graduated in economics from St Stephens College, New Delhi. He is a fellow of the Institute of Chartered Accountants in England and Wales (FCA). Mr. Hussain joined the Board of the Indian Tube Company (a Tata Steel associate company) in 1979.
Mr. Ishaat Hussain's association with Tata Steel goes back to 1981, after Indian Tube was merged with the Company. He was the Senior Vice President and Executive Director of Finance at Tata Steel for almost 10 years, before he finally moved to Tata Sons. Currently, he holds the position of a Board Member at Tata Sons.
He is an expert in Financial Management and overall Management and Operational Control having vast experience in the areas of finance, banking, accounts, audit, taxation and general management.
Mr. Hussain is a member of the SEBI committees on insider trading and primary capital markets. He is also a member of the CII Finance Committee.
Dr. Karl Ulrich Koehler
Not Independent, Non-Executive Director
Dr. Karl-Ulrich Koehler was appointed as a Director of the Company with effect from 12th November 2010. He has been Chief Executive Officer and Managing Director of Tata Steel Europe Limited since October 1, 2010. He was appointed Chief Operating Officer of Tata Steel Europe Limited in February 2010.
Born in Baden-Wurttemberg, Germany, Dr. Koehler studied metallurgy at Clausthal University of Technology, where he gained his doctorate in 1988. In 2005, he was awarded an honorary professorship in flat steel product technology by Freiberg University.
Dr. Koehler is a former member of the executive committee of the World Steel Association and Vice Chairman of VDEh, the German Iron and Steel Institute. He has worked during his 30-year steel industry career at the companies that today comprise ThyssenKrupp Steel, where he was Chairman of the Executive Board and a Member of the Executive Board of the parent Company, ThyssenKrupp AG. Until October 2009, he was President of Eurofer, the European steelmaking federation, in which he succeeded former Tata Steel Europe CEO Philippe Varin. He has a wealth of knowledge and experience of steelmaking in Europe, as well as of the European steel supply chain and customer base. Dr. Koehler is based at IJmuiden in the Netherlands.
Mr. D. K. Mehrotra
Independent, Non-Executive Director
Mr. D. K. Mehrotra is an Honours Graduate in Science from the University of Patna. He is the former Chairman of Life Insurance Corporation of India (LIC). He was appointed a Director on the Board of Tata Steel Limited with effect from October 22, 2012.
Mr. D. K. Mehrotra joined LIC as a Direct Recruit Officer in 1977 and in an illustrious career spanning 35 years, has occupied several pivotal positions in LIC spanning three Zones and the Corporate Office at Mumbai. Prior to taking charge as Managing Director of LIC, Mr. Mehrotra was posted as Executive Director (International Operations) to lead LIC’s overseas thrust.
Mr. Mehrotra has attended several important knowledge forums in India and abroad and is associated with the apex training institutes of insurance in India like the National Insurance Academy and the Insurance Institute of India.
Mr. T. V. Narendran
Managing Director - Tata Steel India and South East Asia
Mr. T.V. Narendran is a Mechanical Engineer from REC (NIT), Trichy. He joined Tata Steel after completing his MBA from IIM Calcutta in 1988. He is a Chevening Scholar and has also attended the Advanced Management Programme in CEDEP - INSEAD, Fontainebleau, France. He became the Managing Director of Tata Steel India and South East Asia on November 1, 2013.
He was actively involved in the Tata Steel's first overseas acquisition, NatSteel, and was seconded there as an Executive Vice President in 2005. He ran operations in NatSteel thereafter as the Deputy President (Operations) and took over as the President & CEO on January 1, 2008. He played a key role in the integration of NatSteel and Tata Steel.
Before being appointed as MD - Tata Steel India and South East Asia, on November 1, 2013, Mr. Narendran was the Vice President - Safety, Flat Products & Long Products Divisions of Tata Steel.
During his stint in NatSteel, Mr. Narendran was a director on the Board of South East Asia Iron & Steel Institute (SEAISI) and also served as the President of the ASEAN Iron & Steel Federation (AISIF) from 2007 to 2009. He was also the Vice Chairman of the CII (India Business Forum) in Singapore.
He is currently on the Boards of Tata Steel Limited, Tata Steel Europe, CEDEP, XLRI and World Steel Association. He is currently the Chairman of CII, Jharkhand.
Mr. Jacobus Schraven
Independent, Non - Executive Director
Mr. Jacobus Schraven was appointed as an Additional Director of the Company with effect from May 17, 2007. He was appointed a non-executive Director and Deputy Chairman of Corus Plc. in December 2004. Mr. Schraven, in 2005 was appointed a Member and Chairman of the Supervisory Board of Corus Nederland BV. Until June 2005 he was President of the Confederation of The Netherlands Industry and Employers (VNO-NCW).
Mr. Jacobus Schraven joined Shell in 1968 and after an international career, was appointed Chairman of the Board of Shell Nederland BV in 1997. He is Chairman of the Supervisory Board of Stork B.V., Member of the Supervisory Board of NUON Energy B.V. and BNP OBAM NV. He is also Chairman or member of the Board of Trustees of Sanquin, the Netherlands Blood Institute, the Netherlands Normalisation Institute (NEN) and the Carnegie Foundation (Peace Palace in The Hague. He is also the Chairman of EuropeanIssuers, which represents the interests of Companies listed on the European stock exchanges.
Mr. Schraven is Commander of the Order of Orange-Nassau (Netherlands) and Officer of the l’Legion d’Honneur (France).
Ms. Mallika Srinivasan
Independent, Non-Executive Director
Ms. Mallika Srinivasan graduated in management studies from the Wharton School of Business, University of Pennsylvania, after her post graduate studies in Econometrics from the University of Madras. She joined Tractors and Farm Equipment Limited (TAFE) in 1985 and is presently its Chairman and Chief Executive Officer. She is also on the Board of AGCO Corporation, USA, TATA Global Beverages Limited and the Indian School of Business.
Ms. Srinivasan has spearheaded TAFE’s growth to its present status of the third largest tractor manufacturer in the world with revenues in excess of Rs 8020 Crores in the last fiscal with diverse interests in Tractors, Farm Machinery, Diesel Engines, Engineering Plastics, Hydraulic Pumps and Cylinders, Batteries and Automobile Franchises.
She has been conferred the Business Woman of the Year Award by The Economic Times in 2005-06, The IIM Lucknow-Lakshmipat Singhania Award for National Leadership in 2005, and was one of the 125 influential alumnae selected by the Wharton School of Business at its 125th anniversary in 2007. TAFE was awarded the Business Star Award for the best unlisted company by Business Standard in 2009 and in 2010, Ms. Mallika Srinivasan was conferred Entrepreneur of the Year - Manufacturing by Ernst & Young. More recently, she was ranked among India’s 50 most powerful women in business by Fortune Magazine and as one of Asia’s 50 power business women by Forbes Asia magazine.
Mr. Nusli Neville Wadia
Independent, Non-Executive Director
Mr. Nusli Neville Wadia is foremost among famous Indian industrialists. He is the Chairman and Director on the Board of several companies. Taking over responsibilities from his father Mr. Neville Wadia, he made The Wadia Group and Bombay Dyeing among the most respected and widely diversified business houses in the corporate world.
Mr. Wadia has contributed actively in the deliberations of various organisations such as the Cotton Textiles Export Promotion Council (TEXPROCIL). He was the Chairman of Millowners' Association (MOA), Associated Chambers of Commerce & Industry, etc. Mr. Wadia was appointed on the Prime Minister's Council on Trade & Industry in 1998, 1999 & 2000-04. Mr. Wadia has a distinct presence in public affairs and has been actively associated with leading charitable institutions. He is also on the Managing Committee of the Nehru Centre, Mumbai.
